Terms & Conditions
These Terms & Conditions (the “Terms”) govern all projects and services provided by Nuvio Communications, a professional writing and design services company owned and operated by Paul Butland, based in Kamloops, British Columbia. Nuvio Communications is located at 404-525 Nicola Street, Kamloops, BC V2C 6J5. By engaging Nuvio Communications for any project or service, you (the “Client”) agree to these Terms.
1. Services
Nuvio Communications provides professional services including, but not limited to:
- Writing and editing (such as web content, reports, proposals, articles, and marketing materials)
- Graphic design (such as print and digital layouts, visual identities, and marketing collateral)
- Communications strategy (such as messaging frameworks, campaign planning, and content strategy)
Services are provided to businesses, nonprofits, and other organizations. The specific services for each project will be described in a written project agreement.
2. Project Agreements
All projects begin with a written agreement (such as a proposal, statement of work, or estimate) that outlines the scope of work, project timeline, deliverables, pricing, and any other relevant terms.
Work will begin once the Client has provided written approval of the agreement (for example, via email acceptance or signed document) and, where applicable, once any required deposit has been received by Nuvio Communications.
Any changes to the scope, timeline, or deliverables after the agreement is approved may require a written change order and may affect pricing and deadlines.
3. Payment
Payment terms, including project fees, deposit requirements, milestone payments, and due dates, are outlined in the project agreement.
Unless otherwise stated in the agreement, invoices are due within 30 days of the invoice date. Nuvio Communications reserves the right to pause work on a project if invoices are significantly overdue.
Late payments may be subject to a reasonable service fee or interest charge, as specified in the project agreement or on the invoice, to cover administrative and financial costs associated with late payment.
4. Intellectual Property
Upon receipt of full payment for a project, the Client receives ownership of the final deliverables as specified in the project agreement (for example, final approved text files, design files, or other agreed formats).
Unless otherwise agreed in writing, Nuvio Communications retains ownership of all preliminary concepts, drafts, working files, and underlying tools, methods, and processes used to create the deliverables. Nuvio Communications also retains all moral rights to authored works to the extent permitted by law.
Nuvio Communications reserves the right to display the completed work, including the Client’s name and project description, in its portfolio, website, presentations, and marketing materials, unless the Client has requested otherwise in writing prior to the public display of the work.
5. Confidentiality
Nuvio Communications treats all non-public information provided by the Client as confidential. Such information will be used only for the purpose of delivering the agreed services and will not be shared with third parties without the Client’s consent, except where required by law.
Nuvio Communications will take reasonable steps to protect the confidentiality and security of Client information. The Client is responsible for clearly identifying any particularly sensitive or proprietary information so that it can be handled appropriately.
6. Revisions & Approvals
Each project includes a certain number of revision rounds, as specified in the project agreement. Revisions are intended to refine and adjust the agreed-upon direction, not to substantially change the scope or objectives of the project. Significant changes may require a revised agreement or additional fees.
Client feedback and approvals at key milestones (such as concept approval, draft approval, or final proof approval) constitute acceptance of that stage of work. Once a stage is approved, any later changes to previously approved work may be billed as additional work.
The Client is responsible for reviewing all deliverables carefully and ensuring that information such as names, numbers, legal statements, and other critical details are accurate and complete before giving final approval.
7. Cancellations
Details regarding project cancellations, refunds, and any applicable fees are outlined in Nuvio Communications’ Shipping & Returns policy. Clients should review that policy for full information on how cancellations are handled.
If a project is paused or cancelled by the Client, the Client is responsible for payment of all work completed and expenses incurred up to the date of cancellation, as described in the Shipping & Returns policy and project agreement.
8. Limitation of Liability
Nuvio Communications will provide services with reasonable care and professionalism. However, to the fullest extent permitted by law, Nuvio Communications is not liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, data, or opportunities arising out of or in connection with the use of the delivered materials or services, even if Nuvio Communications has been advised of the possibility of such damages.
The Client is responsible for ensuring that the use of delivered materials complies with all applicable laws, regulations, and internal policies. This includes obtaining any necessary approvals, licenses, or legal review for claims, statements, or content used in marketing or other communications.
9. Governing Law
These Terms, and any dispute or claim arising out of or in connection with them or any services provided by Nuvio Communications, are governed by and interpreted in accordance with the laws of the Province of British Columbia and the laws of Canada applicable therein, without regard to conflict of law principles.
Any disputes that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of British Columbia, unless otherwise required by applicable law.
